Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, digital products, downloadable materials, and professional services (collectively, the "Services") provided by Spectrum Media Labs ("Company", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract under the laws of the United States to use the Services. By using the Services you represent that you meet these requirements.

2. Accounts and Accuracy of Information

You agree to provide accurate, current, and complete information when placing an order or booking a service, and to keep that information updated. You are responsible for safeguarding any credentials used to access the Services.

3. Digital Products

Digital products — including but not limited to PDFs, prompt libraries, templates, and other downloadable materials — are licensed, not sold. We grant you a non-exclusive, non-transferable, revocable license to use the digital product for your personal or internal business use. You may not resell, redistribute, sublicense, or publish the materials, in whole or in part, without our prior written consent.

4. Professional Services and Bookings

Consultations and other professional engagements are scheduled and delivered subject to mutual availability. Times are quoted in the time zone displayed at checkout. You are responsible for attending scheduled sessions on time. Rescheduling requests must be sent to hello@spectrummedialabs.pro and are subject to the Refund Policy.

5. Payments

All prices are listed in U.S. dollars unless stated otherwise. Payments are processed by third-party providers (such as PayPal). By submitting payment you authorize the processor to charge the full amount, including any applicable taxes.

6. Intellectual Property

All content, trademarks, logos, and materials made available through the Services are the property of Spectrum Media Labs or its licensors and are protected by U.S. and international intellectual property laws. No rights are granted except as expressly set forth in these Terms.

7. Acceptable Use

You agree not to misuse the Services, including but not limited to: (a) reverse engineering, scraping, or attempting to gain unauthorized access; (b) using the Services to violate any law or third-party right; (c) sharing or reselling licensed materials.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific business, marketing, or financial outcome.

9. Limitation of Liability

To the maximum extent permitted by applicable U.S. law, Spectrum Media Labs and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with the Services. Our aggregate liability for any claim shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Spectrum Media Labs from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Services.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any breach of these Terms. Sections intended to survive termination — including intellectual property, disclaimers, and limitation of liability — shall survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
